May 2026The Australian Private Capital Yearbook, released last Friday, highlights a clear shift underway in private markets: longer hold periods, secondaries, continuation funds and partial exits are fast becoming mainstream. We’re seeing this play out first‑hand in the design of longer term incentive plans. Across a number of these that we have worked on, it’s increasingly clear that structures built around a single, clean exit are misaligned with where the market is heading. The incentive frameworks holding up best are those that reward how value is created, not just how it is ultimately crystallised. In particular, plans focused on operational KPIs (such as EBITDA quality and margin), milestone‑based vesting and sustained performance through longer hold periods better reflect what PE is now looking at as “success”. By contrast, incentives that reward paper value over realised outcomes, or that ignore operational performance during extended holds, are under real strain. As private markets mature, incentive design is increasingly about aligning management behaviour with durable, repeatable value creation over time. https://lnkd.in/gBfCAnAG
