But distribution is where complexity lives. With 76% of European wealth investors already invested in or considering ELTIFs within the next 3 years and HNWI & mass-affluent investors as the fastest-growing AWM segment, the question is no longer whether to distribute semi-liquid alternatives: It’s how to do it right. What we covered in Session 1: 1. Your distribution route depends on who you are targeting, with which product and where • Professional investors: Art. 32 AIFMD passport → relatively straightforward across EU/EEA • HNWI / semi-professional: feasible in selected jurisdictions with specific requirements • Retail investors: ELTIF is the most realistic pan-European route 2. Reverse solicitation is not a distribution strategy • It’s a narrow exception for genuinely unsolicited approaches, misuse puts full liability on the manager • Pre-marketing triggers an 18-month Reverse Solicitation lock-out in that jurisdiction • If it goes wrong, liability sits with the manager 3. Marketing compliance is broader than most expect • The AIFM owns responsibility for all marketing materials: including those produced by distributors • ESMA, CBDF, SFDR, CSSF rules and country-specific requirements all apply at once 4. Outside the EU, in every market you start from scratch • No passport, no shortcuts: each jurisdiction needs its own analysis before you approach a single investor Bottom line: Getting distribution right, from regulatory routes to marketing compliance and distributor oversight, is essential to successfully launch and scale semi-liquid alternative funds.
