ZeerAI Terms of Service

These Terms describe your relationship with ZeerAI, including how the Service works, responsibilities for Customer Data, and how disputes are handled. Please review them carefully.

1. Acceptance & Scope

These Terms govern your access to and use of Zeer's products and services, including AI-powered agents that may communicate with third parties on your behalf (the "Service"). By creating an account or using the Service, you agree to these Terms. If you accept for an entity, you represent that you have authority to bind that entity. Signed Enterprise/MSA terms (if any) supersede these Terms for the covered services.

Arbitration & Class-Action Waiver (Summary). Disputes will be resolved by binding individual arbitration; no class actions. Details and the opt-out process are described in Section 15.

2. Accounts & Eligibility

  • You must be 18+ and capable of forming a contract.
  • Keep account information accurate and credentials secure; you are responsible for activity under your account.
  • We may refuse, limit, suspend, or terminate access to the Service at any time, with or without cause or notice, including for risk, legal/policy issues, platform conflicts, competitive misuse, non-payment, or violation of these Terms.

3. Plans, Pricing, Renewals, and Changes

We may offer Free, Monthly, Annual, usage-based, or other plans. Features, plan structures, fees, and billing cycles may change at any time and may differ by account, region, or cohort.

Renewals. Unless otherwise stated at purchase, paid subscriptions renew for the same term. We may modify fees effective on renewal or new purchases.

Cancellations/Refunds. Terms for cancellation and refunds (if any) will be stated in the order flow or plan page and may vary by plan or promotion. Unless expressly stated otherwise, fees are non-refundable.

Trials/Betas. Pre-release features are provided as-is and may be modified or discontinued at any time.

4. Fair Use; Competitive Use; Platforms

Fair use. We may enforce technical or usage limits and throttle or suspend accounts to protect the Service or our providers.

Competitive use/benchmarking. We may decline or terminate access for direct competitors, benchmarking, or use adverse to our business interests.

Third-party platforms. If you connect email, chat, telephony, CRM, or other services, you must comply with those providers' terms and policies.

5. Agents & Messaging - Your Responsibilities

You are the sender/controller. For agent communications with your customers or prospects, you are the sender/controller and must obtain required consents and comply with messaging laws (for example, CAN-SPAM, TCPA, CASL, e-privacy rules) and maintain suppression or opt-out lists.

Configuration & disclosure. You are responsible for agent configuration, content, and any required disclosure that communications are automated.

Third-party terms. You will comply with the terms of platforms you connect; we may act to preserve platform access.

6. Customer Data, Outputs, and Service Improvement

Customer Data. You may submit data, prompts, files, links, configuration, and other inputs ("Customer Data"). You represent you have all rights and consents to provide Customer Data and to enable agent communications with third parties.

Purpose & segregation. Our primary intent is to use Customer Data to provide the Service to you (for example, power your agents, personalize features). We implement measures designed to segregate tenants and avoid intentional cross-tenant disclosure.

Outputs. The Service may generate content ("Outputs"). Zeer and Customer may each use Outputs for their respective legitimate purposes to operate and improve products and experiences, subject to law and these Terms. Outputs are not treated as confidential unless expressly agreed.

Improvement & analytics (self-serve). You grant Zeer a worldwide, non-exclusive, royalty-free license to use Customer Data and Outputs (including derivative insights) to provide, maintain, protect, and improve the Service; develop new features; ensure quality and safety; and for analytics, research, and benchmarking, including via third-party AI providers. Where feasible, we apply privacy-preserving measures (for example, access controls or de-identification/aggregation). We may create and use Aggregated/De-identified Data for any purpose.

Disclosure risk via agents. You control your agents. You acknowledge agents may disclose information based on your configuration, prompts, or third-party interactions. Zeer is not liable for disclosures caused by your settings, instructions, third-party prompts, or misuse.

Sensitive/regulated data. The Service is not designed for PHI, PCI, SSNs, children's data, or other regulated categories unless expressly agreed in writing; you will not submit such data.

7. Intellectual Property

Customer Data. As between the parties, you retain rights in Customer Data. You grant Zeer the licenses described in Section 6.

Service. We and our licensors own the Service, including software, models, and improvements.

Feedback. You grant Zeer a perpetual, irrevocable, royalty-free license to use feedback and suggestions.

8. Acceptable Use

You agree to the Acceptable Use Policy at /acceptable-use, which is incorporated by reference (no spam/harassment/malware/infringement; no scraping/credential-stuffing; no high-risk uses; no regulated data without written consent; no reverse engineering; no building competing services using the Service).

9. Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms and protect it with reasonable care. Confidentiality does not apply to information that is public, independently developed, or lawfully obtained without a duty of confidentiality.

10. Third-Party Services

Third-party services you enable are governed by their terms. We are not responsible for third-party services and disclaim liability arising from them.

11. Warranties & Disclaimers

THE SERVICE, OUTPUTS, AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. AI/LLM OUTPUTS MAY BE INACCURATE OR MISLEADING AND DO NOT CONSTITUTE PROFESSIONAL ADVICE.

12. Indemnities

By Customer. You will defend and indemnify Zeer and its affiliates against claims, losses, liabilities, damages, costs, and fees (including reasonable attorneys' fees) arising from (i) Customer Data or agent communications; (ii) your breach of these Terms or law; (iii) your use of third-party services; or (iv) claims relating to automated communications sent on your behalf.

By Zeer. For self-serve plans, no indemnity applies. Any indemnities apply only under a separate enterprise agreement.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • (A) Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data, even if advised of the possibility.
  • (B) Zeer's total liability for all claims in the aggregate will not exceed the fees paid by you to Zeer for the Service in the 12 months before the event giving rise to liability (or $0 for free or no-fee use).

These limitations apply even if a remedy fails of its essential purpose. Nothing excludes liability that cannot be excluded by law.

14. Suspension, Termination, and Changes to the Service

We may suspend or terminate your access at any time for any reason or no reason, including risk, legal or platform policy issues, non-payment, or violation of these Terms. We may add, change, or discontinue features at any time.

15. Disputes; Arbitration; Class Waiver; Venue

Governing Law & Venue. These Terms are governed by the laws of the State of California (excluding conflicts of law rules). Exclusive jurisdiction and venue for non-arbitrable claims: San Francisco, California federal or state courts; you consent to personal jurisdiction there and waive jury trial.

Arbitration. Binding individual arbitration under the Federal Arbitration Act, administered by JAMS under its Streamlined Arbitration Rules; seat or venue San Francisco, California; arbitrator may award any relief available in court. No class or representative actions or arbitration.

Injunctive Relief. We may seek injunctive or equitable relief in any court of competent jurisdiction for unauthorized use of the Service, IP infringement, data security incidents, or platform/API abuse.

Opt-Out. You may opt out of arbitration and the class waiver within 30 days of first acceptance by sending written notice to team+legal@zeer.ai.

Time Limit. Any claim must be filed within 1 year after it arose or be permanently barred, to the extent permitted by law.

16. Changes to These Terms

We may update these Terms at any time by posting a revised version with a new Effective Date. Updates are effective upon posting unless a later date is stated. We may, at our discretion, provide notice (for example, in-product banner or email). Your continued use constitutes acceptance of the updated Terms.
